Terms of Service

1. What Offplanet Shop is

Offplanet Shop is an online marketplace. We run the website, the checkout, and the customer-facing infrastructure. Independent sellers (“Stores”) list and fulfil their own products. When you buy something, your contract for the goods is with the Store; your contract for the platform is with us.

We screen Stores before they open and we can suspend any Store that violates these Terms or our seller policies.

2. Buying on Offplanet Shop

• Prices and currency. Prices are shown in the currency listed on the product page (currently US dollars). Taxes and shipping, if applicable, are shown at checkout before you pay.
• Payments. Payments are processed by Stripe. We do not see or store your full card number. See the Privacy Policy for what payment data we receive from Stripe.
• Order acceptance. A charge on your card does not by itself form a contract. A Store can refuse an order (mis-priced item, out of stock, suspicious activity) and refund you. If they do, we’ll tell you.
• Shipping and delivery. Shipping is handled by each Store. Delivery times and methods are listed on the Store’s page or your order confirmation.

3. Selling on Offplanet Shop

If you apply to sell, the following extra terms apply to your Store. They live here (rather than in a separate seller agreement) because we want them visible to anyone considering buying from you.

• You confirm you have the right to sell the items you list — no counterfeits, no stolen goods, no items you don’t actually have or can’t ship.
• You ship within the lead time you promise on your Store page, or you proactively tell the customer (and refund them on request) if you can’t.
• You handle customer service for your own products in the first instance. We’ll step in if a buyer can’t reach you or a dispute stalls.
• You collect and remit any sales tax applicable to your location and your buyer’s location, unless we explicitly agree to handle it on your behalf.
• Platform fees and payout terms are documented in your seller onboarding agreement, which references these Terms and the Refunds policy by reference.

4. What you can’t do

You agree not to:

• Use the site to break the law, infringe someone’s rights, or harass anyone.
• Scrape, mirror, or crawl the site beyond reasonable rates, or attempt to bypass our security or rate-limiting.
• Sell prohibited items (weapons, controlled substances, counterfeit goods, items that are illegal in either party’s jurisdiction).
• Misrepresent yourself, your goods, or your reviews.

5. Intellectual property

We own the Offplanet name and the look-and-feel of the marketplace. Each Store owns its brand, listings, and product photos; by listing on Offplanet Shop, a Store gives us a worldwide, royalty-free, revocable licence to display that content on the site and in our own marketing of the marketplace (e.g. a homepage screenshot, social posts, the mall directory).

If you believe content on Offplanet Shop infringes your rights, email our contact address with the specific URL, a description of the work, and a statement that you’re the rights-holder. We act on credible reports quickly.

6. Disclaimers

The site is provided “as is.” We don’t warrant that it will be uninterrupted or error-free, or that any specific item will meet your expectations. For the items themselves, your warranty is from the Store you bought from; we don’t add to or reduce statutory consumer-protection rights you have in your jurisdiction (for buyers in Canada, that includes the warranties implied by your province’s consumer-protection legislation).

7. Limitation of liability

To the maximum extent permitted by law, our total liability to you for anything arising out of or related to the site or your use of it is limited to the greater of (a) the amount you paid through the site in the twelve months before the claim and (b) CAD $100. We are not liable for indirect, incidental, consequential, special, or punitive damages.

Nothing in these Terms excludes liability that cannot be excluded under applicable law (e.g. fraud, gross negligence, or your statutory consumer rights).

8. Indemnity

You agree to indemnify Offplanet against third-party claims arising out of your breach of these Terms or your unlawful use of the site, except to the extent caused by our own negligence or wilful misconduct.

9. Changes to these Terms

We may update these Terms. If we make a material change, we’ll post a notice on this page and bump the “Last updated” date at the top. For sellers, material changes are also notified by email. Continued use after a change means you accept the new Terms.

10. Termination

You can stop using the site at any time. We can suspend or close an account if you break these Terms or if continuing to provide service would expose us to legal risk. We’ll tell you why when we reasonably can.

11. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. Disputes are subject to the exclusive jurisdiction of the courts of Ontario, except that consumers may bring claims in the courts of their home jurisdiction where required by law.
